1. Scope of Application

These General Terms and Conditions (GTC) generally apply to all business relationships between Dialogis Nuhi (hereinafter "Provider") and its customers (hereinafter "Customer") regarding the use of the "Morphya" platform.

2. Services

Morphya provides an AI-powered platform for creating, editing, and managing digital video content. The exact scope of services depends on the subscription plan selected by the Customer. The Provider reserves the right to modify, extend, or discontinue services at any time to improve the platform or adapt to technical developments.

3. Registration and Account

Use of the platform requires registration. The Customer is obliged to provide truthful information and to keep their access data (password) secret. The Provider is not liable for damages resulting from authorized or unauthorized use of the account by third parties.

4. Rights of Use (License)

Upon payment of the applicable fees, the Customer grants the Provider a non-exclusive, worldwide right to process their input data for the purpose of generation.

The Customer receives a non-exclusive, worldwide, non-transferable right to use the generated content for the duration of the subscription, unless the specific plan (e.g., "Pro") explicitly grants perpetual commercial rights.

5. Customer Obligations

The Customer undertakes not to use the platform for illegal purposes, in particular not to generate content that is defamatory, pornographic, extremist, or infringing on copyright. The Provider reserves the right to block accounts immediately in the event of violations.

6. Liability

The Provider is liable only for direct damages caused by intent or gross negligence. Liability for slight negligence, indirect damages, or consequential damages (e.g., loss of profit) is excluded to the extent legally permissible. The generic nature of AI-generated content means the Provider cannot guarantee the uniqueness or copyrightability of results.

7. Termination

Subscriptions can be canceled at the end of the current billing period. Immediate termination for cause remains unaffected.

8. Applicable Law and Jurisdiction

Swiss law applies exclusively. The place of jurisdiction is the registered office of Dialogis Nuhi (Windisch, Aargau), unless mandatory statutory provisions apply.
